Welcome to Vonzie Nexus. These Terms of Service ("Terms") govern your access to and use of the Vonzie Nexus platform and services (collectively, the "Service") provided by Vonzie Studio ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Vonzie Nexus is a privacy compliance platform that provides:

The Service is designed to help website owners achieve compliance with privacy regulations such as GDPR, CCPA, and the ePrivacy Directive. However, we do not provide legal advice, and use of the Service does not guarantee legal compliance.

User Accounts

Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

Account Security

Subscription and Payment

Payment Terms

For paid subscriptions:

Payments are processed securely through our payment provider
Subscriptions are billed in advance on a monthly or annual basis
All fees are exclusive of applicable taxes
Failed payment attempts may result in service suspension

Refund Policy

We offer a 30-day money-back guarantee for first-time subscribers. To request a refund, contact us at nexus@vonzie.app within 30 days of your initial purchase.

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

Your subscription will remain active until the end of the current billing period
You will not be charged for subsequent periods
Your data will be retained for 30 days, after which it may be deleted

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Use the Service for any illegal or unauthorized purpose
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the Service or servers
Transmit any malware, viruses, or harmful code
Engage in any activity that could damage, disable, or impair the Service
Use the Service to collect or harvest user information without consent
Impersonate any person or entity
Use automated means to access the Service without authorization
Reverse engineer or attempt to extract the source code of the Service
Resell or redistribute the Service without authorization

Violation of these restrictions may result in immediate termination of your account.

Intellectual Property

The Service, including its design, features, functionality, and content (excluding user content), is owned by Vonzie Studio and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Feedback

By uploading User Content, you grant us a license to use, store, and process that content solely for the purpose of providing the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.
WE DO NOT WARRANT THAT THE SERVICE WILL ENSURE LEGAL COMPLIANCE WITH ANY SPECIFIC REGULATION.

IN NO EVENT SHALL VONZIE STUDIO BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Any loss of profits, revenue, data, or business opportunities
Any damages arising from your use or inability to use the Service
Any damages exceeding the amount you paid us in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Vonzie Studio, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any applicable law or regulation
Your infringement of any third-party rights
Any content you submit or transmit through the Service

Termination

Termination by You

You may terminate your account at any time by canceling your subscription and requesting account deletion through your account settings or by contacting us.

Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

You breach these Terms
You engage in fraudulent or illegal activity
You fail to pay applicable fees
Required by law or legal process

Effect of Termination

Upon termination:

Your right to access the Service will cease immediately
Cookie banners and widgets on your websites will stop functioning
You may export your data within 30 days of termination
We may delete your data after 30 days

Sections of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, and indemnification.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.

If you are a consumer in the European Union, you may also benefit from mandatory provisions of the law of your country of residence.

Dispute Resolution

Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at nexus@vonzie.app to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Jurisdiction

Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the courts of the Netherlands, located in Middelburg, Zeeland.

EU Online Dispute Resolution

If you are a consumer in the European Union, you may use the Online Dispute Resolution platform provided by the European Commission at https://ec.europa.eu/consumers/odr.

Modifications to Terms

We may modify these Terms at any time. When we make material changes, we will:

Update the "Last updated" date
Notify you via email or through the Service
Provide at least 30 days' notice before changes take effect

Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service before they take effect.
